Which tax form should a SaaS affiliate program collect?
Short answer: A US payer commonly requests Form W-9 from a US person and an appropriate Form W-8 from a foreign payee. W-8BEN is generally for a non-US individual; W-8BEN-E is generally for a foreign entity. The correct documentation, withholding and reporting treatment depends on the payee, payment type, source of income, payer arrangement and applicable tax law.
This guide is an operational checklist for US-based SaaS affiliate teams. It is not tax advice and does not determine whether a particular affiliate payment is US-source income, subject to withholding or reportable on Form 1099. Those decisions require a qualified tax adviser.
W-9, W-8BEN and W-8BEN-E compared
| Form | Typical payee | Purpose | Common error |
|---|---|---|---|
| W-9 | US individual or entity | Certifies US tax identification information | Collecting a W-8 instead |
| W-8BEN | Non-US individual | Documents foreign beneficial-owner status and certain claims | Using it for a foreign company |
| W-8BEN-E | Non-US entity | Documents entity status and relevant certifications | Assuming every foreign entity has identical withholding treatment |
The IRS Publication 515 explains that Form W-9 generally documents a US person, while foreign payees generally provide an appropriate W-8 series form. Other forms or documentary evidence can apply in particular circumstances. Do not substitute a guessed country field for valid tax documentation.
A practical affiliate tax-document workflow
- Determine the payer of record. Is the merchant paying directly, or does a platform handle payment and reporting under its own arrangements? Get the responsibility in writing.
- Collect identity data securely. Capture legal name, entity type, tax residence and the correct form through a secure, access-controlled workflow. Do not request tax IDs through public chat.
- Validate before payment. Confirm that the form is complete and consistent with the payee record; escalate conflicting data rather than changing it silently.
- Separate earned and payable. Keep commission approval independent from tax-document readiness. A valid commission may be held from disbursement pending documentation.
- Record who reviewed what. Store document version, review date, tax-year context, and a limited audit trail without unnecessarily exposing the document to marketing staff.
- Recheck when facts change. A change of entity, residence or payer may require new documentation and professional review.
The commission approval guide addresses operational eligibility. Tax documentation is a separate compliance gate, not evidence that a sale was genuine.
Does a US merchant always issue Form 1099-NEC?
No. Reporting depends on the nature of the payment, payee classification, method of payment, thresholds and other legal rules. The IRS instructions for Forms 1099-MISC and 1099-NEC distinguish types of reportable payments and explain exceptions, including payments handled through certain payment settlement channels.
Do not hard-code a permanent dollar threshold into the affiliate dashboard. Thresholds and instructions can change by tax year, and the payer must use the rules applicable to that reporting year. Confirm whether a payment belongs on 1099-NEC, another information return, or neither. The general information-return instructions provide broader filing and documentation context.
What changes for international affiliates?
A foreign payee is not automatically exempt from all US withholding, and a foreign bank account does not establish tax status. Income sourcing, treaty eligibility, documentation and withholding can require a case-specific determination. IRS Publication 515 discusses documentation and presumption rules when valid documentation is absent.
For example, a US SaaS merchant may have one US company partner, one non-US individual creator and one non-US agency. All three can earn identical commissions under the program, yet their documentation paths may differ. Keep commercial commission calculations separate from tax withholding and the net cash disbursement.
Security and data minimization
Tax forms can contain sensitive identifiers. Limit access to finance and authorized compliance staff, encrypt stored copies where appropriate, and set retention based on legal obligations. Avoid attaching forms to general CRM notes or exporting full identifiers into affiliate performance dashboards. Provide a correction route if the payee's information changes.
For payout reconciliation, maintain distinct fields for gross approved commission, withholding where legally required, payment processor charges, net transfer and payment confirmation. Our multi-currency reconciliation guide explains why currency conversion should not obscure these amounts.
Frequently asked questions
Is W-8BEN the same as a tax return?
No. It is generally a withholding-status certificate supplied to a requester; it does not replace a personal income tax return.
Can a SaaS affiliate network handle all tax obligations?
Some platforms provide tax onboarding or payout services, but responsibilities vary by contract and jurisdiction. Confirm the actual payer, withholding agent and filing obligations rather than assuming the platform absorbs them.
